1. Definitions
"CalcuNow", "we", "us" means CALCUNOW. "Customer", "you" means the company or person that requested a workspace. "Workspace" means the private copy of CalcuNow DUCT provisioned for the Customer at its own web address. "Plan" means the subscription package chosen (Starter, Professional or Enterprise) with the sections, seats and add-ons it includes. "Users" means the people the Customer allows to sign in to its Workspace. "Content" means everything the Customer enters, uploads or generates in the Workspace.
2. The agreement
These Terms, together with the Plan and prices confirmed to you in writing when your Workspace is provisioned, form the agreement between you and CalcuNow. By requesting a Workspace, signing in to one, or paying an invoice, you accept them on behalf of the Customer. If you are accepting for a company you confirm you are entitled to do so.
3. The service
CalcuNow DUCT is estimating software for ductwork: take-off by section (metallic, fire-rated, pre-insulated, trading, dampers, sound attenuators), material and accessory calculation from construction schedules, costing, pricing and margin, quotations and reports, a 3D viewer, document import, and — on eligible Plans — the Procurement Directory. Features vary by Plan as described on the pricing page at the time of purchase. We may improve, add or replace features; we will not remove a feature that is material to your Plan during a paid period without offering an equivalent.
4. Workspaces, seats and users
- Each Workspace is for one Customer. You may not share a Workspace between companies or resell access.
- Your Plan includes a number of seats. Each seat is one named User; Users may be reassigned when staff change, but the number signed in at once may not exceed your seats.
- You are responsible for your administrator credentials and for the Users you create, their permissions and everything done under their sign-ins. Tell us at once if you believe an account has been compromised; we will issue a recovery code to the administrator on request after verifying the request.
- We may refuse or close accounts used in breach of these Terms.
5. Fees, billing and renewal
- Fees are as published on the pricing page or as quoted to you, in UAE dirhams, exclusive of VAT, which is added where applicable.
- Subscriptions are paid in advance, monthly or yearly. Yearly Plans are billed once a year at the published yearly price. Add-ons (extra users, extra sections, onboarding) are billed as published.
- Your Workspace is activated for the period paid. It renews when the next period is paid; we will remind the administrator before the paid-until date. If payment is not received, the Workspace locks on that date (see section 13) — nothing is deleted.
- Fees are not refundable except where required by law or where we terminate without cause, in which case we refund the unused part of the period.
- We may change published prices for future periods with at least 30 days' notice; the price you have paid for a period does not change during that period.
6. Fire-rated duct setup
Fire-rated ductwork is manufactured to construction schedules that have been tested and evaluated by a certification body for each manufacturer. Activating the Fire-rated section therefore requires a one-time setup, charged at the published fee, in which we configure the section to the construction schedule you supply and verify the result against your test report. You are responsible for supplying the current certified schedule and for telling us when it changes. We do not certify, approve or warrant any fire-rated product; the section reproduces your schedule for estimating.
7. Acceptable use
You agree not to: copy, decompile, scrape or reverse-engineer the software or its price-calculation logic; use it to build a competing product; attempt to access another customer's Workspace, licence or data; interfere with the service or our providers; upload unlawful material or material you have no right to use; or use the Procurement Directory to harvest supplier contacts for resale or bulk marketing.
8. Your data and your responsibilities
- Your Content is yours. We claim no rights in it beyond what is needed to provide the service.
- Your estimates, jobs, drawings and settings are stored in the browsers you use, not on our servers; Users and their permissions are kept on your licence record so they work on every computer. You are responsible for backing them up with the save and export tools. We cannot recover work that was only in a browser.
- Your price list is stored for your Workspace so your Users share it; you control its contents through Price Admin.
- If you turn on company sync, saved projects are stored for your Workspace in encrypted form under a passphrase you choose. We cannot read or recover them; keeping the passphrase safe and keeping file backups remains your responsibility.
- The Privacy Policy explains what we hold and why; it forms part of these Terms.
9. Estimates and quotations
CalcuNow DUCT calculates quantities, costs and prices from the dimensions, schedules, rates and margins you enter, using published engineering conventions and the construction schedules configured for your Workspace. The results depend on your inputs. Before you rely on them you must check that your schedules, gauges, accessories and rates are current and correct for the job, and that any quotation you issue is reviewed by a competent person. Acoustic selections are estimates from a calibrated model and must be confirmed against the manufacturer's tested data before being guaranteed. The quotations, prices and commitments you give to your customers are yours alone; CalcuNow is not a party to them and is not responsible for any loss arising from them.
10. Procurement Directory
The Procurement Directory lists suppliers who have asked to be listed and information they have given us. We check that a listed supplier is a licensed business but we do not verify stock, prices, quality, delivery or compliance claims, and we are not a party to any purchase. Prices are on request from the supplier. Contact details are provided for your own procurement use only. Listings may be added, changed or removed at any time.
11. Intellectual property
The software, its calculation engine, construction-schedule logic, designs, text, images, brand and documentation belong to CalcuNow or its licensors and are protected by copyright and other laws. You receive a limited, non-exclusive, non-transferable right to use them for your own business during the subscription, and nothing more. The CALCUNOW and CALCUNOW DUCT names and marks may not be used without our written permission. Feedback you give us may be used to improve the service without obligation.
12. Availability and support
We aim to keep Workspaces available at all times but do not guarantee uninterrupted service; hosting, provider outages and maintenance can cause downtime. Support is provided by email at the address in these Terms during UAE business hours, with priority response on Professional Plans and a dedicated contact on Enterprise Plans. Onboarding and setup sessions are as described in your Plan.
13. Term, suspension and termination
- The agreement runs for the period paid and continues for each further period paid.
- When a period ends unpaid, the Workspace locks: it stops opening until renewal. Your locally stored work remains in your browsers and your price list remains in place; both return when you renew. We keep the licence record for 24 months after expiry, after which the Workspace and its price list may be deleted.
- You may end the agreement at any time by not renewing. We may suspend or end it on written notice if you materially breach these Terms and do not cure the breach within 14 days, or immediately for serious misuse.
- Sections 8, 9, 11, 14, 15 and 16 survive termination.
14. Warranties and liability
We warrant that we will provide the service with reasonable skill and care. Except for that, the service is provided "as is", and we do not warrant that it is error-free or fit for a particular purpose. To the fullest extent the law allows: we are not liable for loss of profit, revenue, business, contracts or data, or for any indirect or consequential loss; and our total liability to you under this agreement in any 12-month period is limited to the fees you paid for the service in that period. Nothing in these Terms limits liability for fraud, or for anything that cannot be limited by law.
15. Governing law
These Terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai, United Arab Emirates have exclusive jurisdiction over any dispute, after the parties have first tried in good faith to resolve it between themselves for 30 days.
16. General
These Terms and the Privacy Policy are the whole agreement between us about the service and replace any earlier discussions. If a part of them is found invalid, the rest continues to apply. We may update these Terms; we will post the new version here with a new revision date and tell workspace administrators by email at least 30 days before a material change takes effect, and continued use after that date means acceptance. You may not assign the agreement without our consent; we may assign it to a successor of our business. Notices to us go to info@calcu-now.com; notices to you go to the administrator's email on record. Where an Arabic translation of these Terms is provided, the English text prevails in case of conflict.
